Service and Subscription - Service Description: Greensee provides access to its software platform under a subscription model. - Subscription Fee: Subscriber agrees to pay the agreed-upon fee. - Term: The initial subscription term is renewable unless either party cancels. - Access Rights: Subscriber and authorized users may use the platform solely for internal business purposes. 2. User Responsibilities - Maintain the confidentiality of login details. - Prevent unauthorized access to the service and report breaches immediately. - Use the service in compliance with applicable laws and not for illegal purposes. - The Subscriber is responsible for the data uploaded into the platform (Subscriber Data) and ensuring its legality and security. 3. Greensee’s Obligations - Provide the agreed-upon services in line with the documentation. - Ensure service availability, with occasional downtime for maintenance. - Maintain the platform free of harmful code, though it does not guarantee protection from all vulnerabilities. 4. Data Protection - Roles: Subscriber is the "Controller" and Greensee is the "Processor" of any personal data. - Obligations: Both parties agree to comply with data protection laws, ensuring appropriate data security measures are in place. 5. Payment Terms - Billing: Subscriber provides credit card details, and fees are charged at the start of the subscription term and renewal periods. - Late Payments: If payment is not made within 30 days, Greensee reserves the right to suspend access to services. - Fee Changes: Greensee may adjust fees with 30 days’ notice. 6. Intellectual Property - Greensee retains all intellectual property rights over its software and platform. - The Subscriber receives a limited, non-transferable right to use the service during the subscription term. - Subscriber grants Greensee permission to use their data as necessary for service operation, with aggregated and anonymized data used for analytical purposes. 7. Confidentiality - Both parties agree to protect each other's confidential information. - Confidentiality extends beyond the termination of the contract. 8. Service Modifications and Third-Party Providers - Greensee may update its services and modify fees. - The platform may include access to third-party services, which are used at the Subscriber’s risk. 9. Liability Limitations - Greensee's Liability: Limited to the amount paid by the Subscriber in the 12 months preceding any claim. - Subscriber’s Responsibility: Ensures correct use of the services and that data provided does not infringe on any third-party rights. 10. Termination - Either party may terminate the contract with written notice. - If the Subscriber breaches the agreement, Greensee may terminate or suspend the service immediately. - Upon termination, all access to the platform is revoked, and Subscriber data may be deleted unless otherwise requested. 11. Dispute Resolution and Governing Law - Jurisdiction: French law governs the agreement, and disputes are settled in French courts. - Force Majeure: Neither party is liable for performance failures due to events beyond their control (e.g., natural disasters, strikes). 12. Miscellaneous - Entire Agreement: This contract represents the full agreement between the parties. - Amendments: Greensee reserves the right to modify the terms with notice to the subscriber.
